MS. DEE’S DELIVERY TERMS OF SERVICE

Welcome to Ms. Dee’s Delivery (“Ms. Dee,” “Company,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Ms. Dee’s Delivery website, mobile application, platform services, and related offerings (collectively, the “Services”).

By accessing, browsing, registering for, or using the Services, you agree to be legally bound by these Terms.

If you do not agree, do not use the Services.

1. ELIGIBILITY

• Be at least eighteen (18) years old or the age of majority in your jurisdiction
• Have authority to enter into legally binding agreements
• Provide accurate registration information
• Comply with all applicable laws and regulations

Additional eligibility requirements may apply to Vendors and Drivers.

2. OUR PLATFORM

• Customers purchasing goods and services
• Vendors offering products or services
• Drivers performing delivery services

Ms. Dee’s Delivery is not the manufacturer, restaurant, retailer, grocery provider, or direct employer of independent vendors or drivers unless expressly stated.

Availability of products, pricing, delivery windows, and promotions may vary.

3. CUSTOMER ACCOUNTS

• Maintain accurate account information
• Protect login credentials
• Pay all applicable charges and taxes
• Use the platform lawfully

Customers are responsible for all activity occurring under their accounts.

4. ORDERS AND PAYMENTS

• You authorize payment processing
• Prices may include delivery, service, platform, processing, and applicable taxes
• Orders may be accepted, declined, modified, or canceled

Refund eligibility will be governed by our Refund Policy. Prices shown at checkout control final charges.

5. VENDOR TERMS

• Maintain required licenses and permits
• Accurately describe products and pricing
• Fulfill accepted orders promptly
• Maintain lawful business operations
• Comply with food safety and applicable regulations

Ms. Dee’s Delivery may suspend, limit, or remove vendor access for policy violations.

Vendor commissions, subscription fees, promotional placements, and advertising fees may apply under separate agreements.

6. DRIVER TERMS

• Drivers operate as independent contractors unless otherwise required by law
• Drivers are responsible for transportation, fuel, insurance, and operating costs
• Drivers must maintain required licenses and eligibility
• Drivers are responsible for completing deliveries professionally and safely

Ms. Dee’s Delivery may deactivate driver accounts for fraud, misconduct, safety concerns, excessive cancellations, or policy violations.

7. FEES

You agree to pay all fees disclosed during account registration, order placement, advertising purchases, subscriptions, or other transactions.

Fees may change with reasonable notice where required by law.

8. PROHIBITED CONDUCT

• Violate laws or regulations
• Commit fraud or impersonation
• Submit false information
• Interfere with platform operations
• Upload malicious code
• Abuse promotions or referral systems
• Harass customers, vendors, drivers, or employees
• Use automated tools without authorization

9. INTELLECTUAL PROPERTY

All trademarks, branding, software, content, graphics, logos, and technology remain the property of Ms. Dee’s Delivery or its licensors. You may not copy, sell, modify, reverse engineer, or distribute platform content without authorization.

Users retain ownership of submitted content but grant Ms. Dee’s Delivery a non-exclusive, worldwide license to use, display, and distribute it for operating and improving the Services.

10. REVIEWS AND USER CONTENT

Users may post reviews and content that are truthful, do not violate rights of others, and are not unlawful, defamatory, abusive, or misleading.

We reserve the right to moderate or remove content.

11. DISCLAIMERS

Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Ms. Dee’s Delivery disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and continuous availability.

We do not guarantee uninterrupted or error-free service.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Ms. Dee’s Delivery shall not be liable for lost profits, lost revenue, indirect damages, consequential damages, delivery delays, or third-party conduct.

Where liability cannot be excluded, it will be limited to the amount paid to Ms. Dee’s Delivery during the twelve (12) months preceding the claim.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Ms. Dee’s Delivery and its affiliates from claims arising from your use of the Services, your content, violations of these Terms, or violations of law.

14. TERMINATION

We may suspend or terminate accounts for Terms violations, fraud, abuse, security concerns, or legal requirements.

Users may discontinue use at any time.

15. PRIVACY

Your use of the Services is also governed by our Privacy Policy.

16. DISPUTE RESOLUTION

Before filing legal action, parties agree to attempt informal resolution. Any disputes shall be governed by applicable laws and resolved in the appropriate courts unless arbitration terms apply.

17. GOVERNING LAW

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

18. CHANGES TO THESE TERMS

We may update these Terms periodically. Continued use after updates constitutes acceptance.
